Overview: Biotecture Inc. is seeking dedicated and experienced individuals to join our Board of Directors on a voluntary basis to serve one, two, or three-year terms. As a Board Member, you will play a crucial role in guiding the strategic direction, governance, and overall success of our organization. We are looking for candidates with a passion for our mission, a commitment to ethical leadership, and a desire to contribute their expertise to drive positive impact.

Responsibilities

1. Strategic Leadership:

• Contribute to the development and refinement of Biotecture Inc.'s mission and strategic goals.
• Provide input on strategic planning, ensuring alignment with the organization's mission and values.

2. Governance and Oversight:

• Actively participate in board meetings, committees, and decision-making processes.
• Monitor and evaluate the effectiveness of the organization's programs and operations.
• Ensure compliance with legal and regulatory requirements.

3. Financial Stewardship:

• Review and approve budgets, financial reports, and major business decisions.
• Safeguard the financial health and sustainability of the organization.

4. Advocacy and Fundraising:

• Serve as an ambassador for Biotecture Inc., promoting its mission and initiatives.
• Contribute to fundraising efforts, leveraging personal and professional networks.

5. Risk Management:

• Identify and address potential risks to the organization's mission and operations.
• Provide guidance on risk management strategies.

6. Collaboration and Networking:

• Collaborate with fellow board members, staff, and external stakeholders.
• Leverage personal and professional networks to support the organization's growth.

7. Community Engagement:

• Engage with the community to understand its needs and advocate for positive change.
• Represent the organization at events, conferences, and relevant forums.

Qualifications

1. Proven experience in leadership roles, preferably on a board or in a senior executive capacity.

2. A background in neuroscience/neurotechnology, business (MBA preferred), governance, finance, psychology, a relevant health discipline, or health-oriented architecture.

3. A commitment to the organization's mission and values.

4. Strong strategic thinking and analytical skills.

5. Effective communication and interpersonal abilities.

6. Knowledge of governance principles and best practices.

7. Financial acumen and an understanding of budgeting processes.

8. Capacity to dedicate the time required for board meetings, committee work, and organizational events.

9. Integrity, ethical judgment, and a commitment to diversity, equity, and inclusion.

Time Commitment: Board members are expected to commit one hour biannually to board meetings, committee work, and organizational activities.
