This is an opportunity to join Ethos Specialty, a Bishop Street Underwriters Company. Ethos Specialty Insurance Services is a specialty Managing General Underwriter that partners with carriers to underwrite tailored insurance programs across North America. Ethos benefits from deep capabilities and underwriting expertise and is able to match risk to multiple sources of capital as well as providing the highest quality, independent underwriting service to its industry partners and capital providers. Ethos currently has three programs under the M&A insurance space.

THE M&A UNDERWRITING TEAM – WHAT DO WE DO?

In connection with the purchase or sale of a company, the seller typically makes a series of representations and warranties concerning the condition of the business and its assets, which serve to allocate risks between the buyer and seller. As part of the transaction process, the buyer or seller may seek representations and warranties insurance to help bridge risk‑allocation gaps and reduce or eliminate the need for an escrow of the transaction proceeds. Following a comprehensive underwriting process, the Ethos M&A underwriting team provides R&W insurance against a breach of the seller’s representations and warranties in the transaction agreement. Among other benefits, R&W insurance streamlines complex negotiations, facilitates smoother deal execution and enables a simpler and more efficient consideration structure.

JOB PURPOSE:

The Analyst will join Ethos and will be primarily responsible for supporting the M&A Team by assisting Senior Underwriters in coordinating the M&A underwriting process and delivering transactional liability solutions. Among other things, the Analyst will:

• Coordinate with external legal counsel as needed and develop strong working relationships with M&A insurance brokers, attorneys and deal principals.
• Collect, organize and analyze data related to submissions, bound deals, and policies.
• Draft invoices, expense agreements, non-binding indication letters and other documents, as requested by underwriters.
• Review underwriting submissions and transaction files and summarize key deal terms for review and discussion with underwriters on the team.
• Support in the underwriting process for Representations & Warranties Insurance products for buy‑side and sell‑side clients by collaborating with various brokers, advisors and law firms.
• Conduct preliminary reviews of Purchase Sale Agreements, Disclosure Schedules and Diligence Reports to evaluate areas of concern and heightened risks to draft non-binding indication letters for investors and private equity firms.
• Review, assess and execute Non‑Disclosure Agreements, Non‑Reliance Letters and Access letters to obtain access to proprietary deal information.
• Attend due diligence calls to transcribe accurate and comprehensive deal specific notes.

COMPETENCIES/REQUIREMENTS:

• 1 – 2 years’ experience in a related field (i.e., insurance, banking, accounting).
• Bachelor's degree required.
• Strong understanding of financial statements.
• Experience handling and interpreting large sets of data.
• Strong written and oral communication skills.
• Strong interpersonal skills and ability to collaborate with a large team.
• Ability to adapt to a fast‑paced environment, including working under short timelines, and occasionally during off‑hours.
• Detail‑oriented.
• Ability to work independently.
• Have a keen interest in M&A.

TECHNICAL SKILLS & KNOWLEDGE:

• Robust proficiency in Microsoft Office Suite (Excel, Word, Outlook, PowerPoint, Teams), Adobe Acrobat.
