JOB PURPOSE
Reporting to the Head of Legal (who is also CanDeal’s Chief Privacy Officer),this role supports the protection of CanDeal’s legal well-being by being involved in major initiatives, as well as supporting legal, reputational, regulatory, and transactional advice provided by the Head of Legal to Senior Leaders of CanDeal and its subsidiaries on a variety of commercial and transactional matters across the enterprise.
The successful candidate will be required to work independently while at the same time operating within a small team as the legal point person on many initiatives. Specific responsibilities include:
Key Responsibilities:
- Provide legal support for all aspects of the business; relay business and legal inquiries to the Head of Legal where appropriate.
- Provide legal support on a wide range of day-to-day commercial and regulatory matters, including:
- Technology initiatives, information security, privacy-related matters, compliance, intellectual property matters, corporate policies, contract interpretation, and Securities law-related matters (nice to have).
- Draft and review a broad range of commercial contracts on behalf of various internal lines of business, including:
- Working with business lines to develop and maintain standard form agreements for products and services offered by CanDeal in support of strategic initiatives and in the ordinary course.
- Working closely with the vendor management team on all types of supplier contracts, including technology and intellectual property licensing, software development, outsourcing, professional services, support services and service levels, consulting services, purchasing, data distribution, revenue share arrangements and other commercial agreements.
- Liaise with external counsel on projects as required.
- Support department/legal operation initiatives.
- Provide research services to the Head of Legal.
- Operate and maintain CanDeal’s enterprise legal document repository.
- Responsible for managing and completing legal administrative work such as Annual Corporate Returns and Board/Shareholder Resolutions.
- Manage the operations of the Privacy Office and support the mandate of the Chief Privacy Officer.
- Other duties, as assigned.
Qualifications:
- Licensed Paralegal in good standing.
- Graduate of a paralegal education program accredited by the Law Society of Ontario.
- Knowledge and experience drafting and structuring various types of commercial contracts and transactions.
- Exceptional written communication, and drafting skills; demonstrated consistent and prompt use of sound business judgement.
- Excellent analytical and problem-solving skills and attention to detail.
- Relevant, financial services industry experience is an asset.
- An understanding of OTC Debt and Derivatives markets including relevant securities law is an asset.
- Experience in document/contract management.
- Experience with legal centric AI tools is considered an asset
- Working proficiency in French is considered an asset.
