Legal Counsel, Structured Finance / Securitization – Toronto
Location: Toronto, ON
Our Client
Our client is a sophisticated and fast-growing financial services platform with a strong presence in the Canadian mortgage and structured finance market.
Responsibilities
- Support structured finance, securitization, and syndicated lending transactions.
- Advise on Canadian residential mortgage matters and loan financing structures.
- Review, draft, and negotiate transaction documents, commercial agreements, and vendor contracts.
- Support financing and loan sale transactions from inception through closing.
- Handle corporate and governance matters as required.
- Manage external counsel and coordinate transaction execution efficiently.
- Identify legal and commercial risks proactively and help move transactions forward.
- Work closely with business stakeholders in a fast-paced, high-volume environment.
- Operate independently with significant ownership and responsibility over files.
- Full-time in-office position based in Toronto.
- Lean and high-performing legal team with direct exposure to senior leadership.
- Business-facing role with substantial autonomy and responsibility.

Requirements
- Member in good standing of the Law Society of Ontario strongly preferred.
- Approximately 3 to 7 years of relevant experience.
- Strong background in structured finance, securitization, lending, or mortgage finance.
- Experience at a leading Canadian or international law firm preferred.
- Ability to independently manage transactions and provide practical legal advice.
- Excellent drafting, analytical, and issue-spotting skills.
- Strong attention to detail and ability to work efficiently under pressure.
- Commercial mindset, strong judgment, and proactive approach.
- Self-starter with a strong work ethic and ability to thrive with minimal supervision.
