Director, IT M&A Integrations

SUMMARY

Green Infrastructure Partners Inc. has an opportunity for a Director, IT M&A Integrations position at our Head Office in Markham, ON. This senior technology role will directly report to the Vice President, IT, and is responsible for planning, leading, and executing the end-to-end technology, software, and infrastructure integration of acquired companies, joint ventures, and carve‑outs into the organization. This role serves as the primary IT integration lead across the deal lifecycle — from pre‑close due diligence through Day 1 cutover, Transition Services Agreement (TSA) exit, and full post‑merger integration. The Director partners closely with Corporate Development, Legal, Finance, HR, Security, and business unit leadership to ensure that every acquisition or divestiture is technically de‑risked, operationally seamless for employees and customers, and structured to realize the technology‑related synergies underpinning the deal thesis. This position requires a seasoned, business‑savvy technology executive who can operate with equal credibility in a boardroom and in a server room — someone with deep technical acumen, strong program and change leadership skills, and the emotional intelligence and resilience to guide people and organizations through the ambiguity, compressed timelines, and high stakes inherent to M&A activity.

PRIMARY SCOPE OF ROLE

IT DUE DILIGENCE

Lead pre‑signing and pre‑close IT due diligence on target companies, assessing application landscapes, infrastructure, cloud environments, network architecture, and vendor/software license portfolios. Evaluate target company security posture, including identity and access management, data protection practices, vulnerability management, and regulatory/compliance exposure (e.g., PCI, GDPR, CCPA, SOX). Quantify technical debt, shadow IT, end‑of‑life systems, and integration/disentanglement risks; translate findings into deal‑relevant risk ratings, cost estimates, and go/no‑go input for the deal team. Identify software license transferability issues, contract change‑of‑control clauses, and third‑party dependencies that could delay or complicate integration or separation. Produce due diligence reports and executive summaries for the VP of IT, CIO, and deal leadership, clearly articulating risks, required investments, and integration complexity/cost.

DAY 1 READINESS

Design and execute the Day 1 IT readiness plan to ensure uninterrupted operations for employees and customers at the moment of legal close. Own critical path workstreams including identity and access provisioning, email and collaboration tools, core network and connectivity, endpoint provisioning, and business‑critical application access. Coordinate cutover runbooks, rehearsals, and command‑center support for close weekend/Day 1 execution, including contingency and rollback plans. Partner with HR, Payroll, Facilities, and Security to ensure employees can badge in, log in, get paid, and serve customers without disruption on Day 1. Establish a Day 1 issue triage and rapid‑response process, with clear escalation paths to the VP of IT and executive stakeholders.

INTERGATION STRATEGY & EXECUTION

Design the target operating model (TOM) for IT, defining organizational structure, governance, and service delivery model for the combined entity. Develop the application rationalization roadmap — assessing overlap, redundancy, and strategic fit across ERP, CRM, HR/payroll, and line‑of‑business systems, and defining consolidate/retire/retain decisions. Build and drive execution of infrastructure migration plans, including data center, network, cloud, telephony, and end‑user computing migrations. Establish integration program governance: workstream charters, RAID logs, milestone tracking, and steering committee reporting cadence. Lead cross‑functional workstream leads and third‑party integration partners/systems integrators to deliver against the integration master schedule.

TSA MANAGEMENT

Own the technology components of Transition Services Agreements (TSAs), ensuring services provided by or to the seller are scoped, resourced, and delivered per agreed terms. Track TSA exit criteria and timelines, proactively managing dependencies to ensure timely separation and full exit from seller‑owned or shared systems and infrastructure. Negotiate TSA scope, cost, and extension requests in partnership with Legal, Finance, and Corporate Development, escalating risks that threaten exit deadlines. Manage vendor and service provider relationships required to stand up replacement capabilities ahead of TSA expiration.

SYNERGY & VALUE REALIZATION

Track integration milestones, spend, and benefits realization against the approved integration budget and the deal’s technology synergy case. Manage the IT integration budget, including capital and operating spend, third‑party/systems integrator costs, and contingency reserves. Report progress, risks, and value realization to the VP of IT, CIO, and executive/steering committee stakeholders on a regular cadence. Identify and execute cost‑synergy opportunities (e.g., license consolidation, vendor renegotiation, infrastructure decommissioning) and technology‑enabled value creation opportunities. Conduct post‑integration reviews (lessons learned) to continuously improve the organization’s M&A integration playbook, tools, and templates.

ADDITIONAL RESPONSIBILITIES

Serve as a trusted advisor and single point of accountability for IT within the broader Corporate Development / M&A function, building strong, durable business relationships with deal and functional leaders. Lead change management and communications for impacted employees, ensuring clarity, empathy, and consistency throughout periods of significant organizational change. Embed cybersecurity, data privacy, and regulatory compliance requirements into every phase of the integration or separation. Maintain and continuously refine the enterprise M&A IT integration playbook, standard workstream templates, and readiness checklists. Support divestiture and carve‑out activity in addition to acquisitions, including standing up standalone IT capability for separated entities.

EXPERIENCE

10+ years of progressive experience in IT management, enterprise architecture, or IT operations, including several years focused specifically on M&A integration or carve‑out/divestiture lifecycles. Demonstrated experience leading IT due diligence, Day 1 cutover, TSA management, and post‑close integration across multiple transactions. Experience operating in complex, multi‑entity, or industrial/heavy asset environments preferred (e.g., construction, engineering, manufacturing, or other capital‑intensive industries). Track record of managing multi‑million‑dollar integration budgets and delivering measurable cost synergies and technology value.

LEADERSHIP

Proven ability to lead and coordinate cross‑functional workstreams spanning IT, Security, HR, Finance, Legal, and business operations. Strong executive communication skills, with demonstrated ability to engage and influence CIOs, CTOs, and other C‑suite stakeholders, both internally and at acquired/target companies. Experience building and leading high‑performing, matrixed teams, including direct reports, dotted‑line workstream leads, and third‑party integration partners. Comfortable operating under ambiguity, compressed timelines, and confidentiality constraints typical of active deal environments.

TECHNICAL ACUMEN

Strong background in enterprise middleware, integration platforms, and API‑based system connectivity. Hands‑on experience leading cloud migrations (AWS, Microsoft Azure, or Google Cloud Platform) and hybrid infrastructure environments. Deep familiarity with ERP and CRM integration and rationalization (e.g., JD Edwards EnterpriseOne, SAP, Oracle, Workday, Microsoft Dynamics, Salesforce). Working knowledge of cybersecurity compliance frameworks and their application to M&A risk assessment and remediation (e.g., NIST CSF, ISO 27001, SOC 2, CIS Controls). Understanding of enterprise network, identity/access management (IAM), collaboration platforms, and end‑user computing at a level sufficient to direct Day 1 readiness planning.

PREFERRED CERTIFICATIONS

Bachelor’s degree in Information Technology, Computer Science, Business Administration, or a related field required; MBA or relevant Master’s degree preferred. Relevant industry certifications strongly preferred, such as: Project Management Professional (PMP) or PMI Agile Certified Practitioner (PMI‑ACP), Certified Merger & Acquisition Advisor (CM&A) or equivalent M&A/integration credential, ITIL v4 Foundation or higher, for IT service management best practices, TOGAF or equivalent enterprise architecture certification, CISSP, CISM, or CRISC for cybersecurity and risk governance credibility, Cloud architecture certifications (e.g., AWS Certified Solutions Architect, Microsoft Azure Solutions Architect Expert), Prosci Change Management Certification or equivalent organizational change management credential, Lean Six Sigma (Green Belt or Black Belt) for process rationalization and continuous improvement.

Resilience & Composure: Maintains sound judgment and steady leadership under high pressure, tight deadlines, incomplete information, and shifting deal timelines; recovers quickly from setbacks and keeps teams focused. Executive Presence & Influence: Communicates complex technical risk and integration status clearly and credibly to senior executives and boards; influences without direct authority across a matrixed, cross‑functional environment. Discretion & Judgment: Handles highly confidential, market‑sensitive deal information with integrity and sound decision‑making. Adaptability: Thrives in a fast‑changing environment with evolving scope, and adjusts integration approach based on deal size, complexity, and strategic intent.

WHAT WE OFFER

  • Expected Base Salary: $160,000 - 180,000 per year. The actual base salary will depend on several factors including experience, qualifications, internal equity and work location.
