Join a collaborative team in the insurance sector on a contract assignment covering a leave of absence. This opportunity provides valuable exposure to governance activities, board administration, and cross-functional collaboration in a professional environment.

What is in it for you:

• Hourly salary of $37-43, based on experience.

• 12-month contract.

• Day schedule, 37.50 hours per week.

• Hybrid role with 2 on-site days per week in Toronto.

Responsibilities:

• Work collaboratively with the Director, Subsidiary Governance and peers to support Canadian Subsidiary Boards and the Corporate Secretary’s Department.

• Assist in drafting governance documents, including minutes, resolutions, and memos.

• Assist in maintaining Canadian subsidiary minute books.

• Assist in maintaining signing authorities for Canadian subsidiaries and update authorized signatories by following the approvals process set out in the respective signing authorization resolutions.

• Collaborate with internal partners and respond to requests related to certifications, signing authorizations, and corporate information.

• Assist with the scheduling of Board meetings and Board planning meetings.

• Maintain accountability for team initiatives, manage complex matters, and perform other delegated or assigned duties, including leading or participating in special projects as required.

What you will need to succeed:

Required qualifications

• Post-secondary degree with 4+ years of experience or an equivalent combination of education and relevant experience.

• Experience in corporate governance.

• Experience in drafting minutes.

• Excellent computer skills (Microsoft Word, PowerPoint, Excel, Outlook).

• General knowledge of Canada Business Corporations Act; Insurance Companies Act (Canada); Trust and Loan Companies Act; Ontario Business Corporations Act; OSFI guidelines.

• Ongoing education to stay current on applicable legislation, regulations, policies and rules.

• Understanding implications of legislation and regulatory requirements.

• Ability to work effectively in a high-volume, paperless environment.

Preferred qualifications

• Experience in a Corporate Secretary's Department of a public company or a law firm.

• Law clerk designation.

• Experience administering Board Portal platform (Diligent Boards or Boardvantage.
