You will be joining a highly regarded, sophisticated legal organization supporting a top-tier Private Equity platform. This is a position within a well‑established team, offering the opportunity to step into a high‑performing environment with strong internal infrastructure and global reach.
The team operates on a “work hard, play hard” culture, with a collaborative approach and shared ownership across files. You will be part of a tight‑knit group of eight legal professionals, with support spanning both Toronto and international team members.

Your new role
As a Senior Corporate Law Clerk, you will be part of a shared service model supporting private equity lawyers across a broad range of corporate and transactional matters.
In this role, you will:
- Support corporate transactions, including acquisitions, financings, restructurings, and ongoing corporate maintenance
- Draft and review corporate documents, resolutions, and deal materials
- Manage minute books and corporate records across multiple entities and jurisdictions
- Assist with due diligence, closings, and post‑closing matters
- Collaborate with a centralized legal team, working within a shared workflow model across multiple lawyers and files
- Liaise with internal stakeholders, external counsel, and cross‑border teams
- Contribute to process improvement and operational efficiency within a fast‑paced environment
What you'll need to succeed
- A minimum of 4 years of strong experience as a corporate law clerk (private equity or transactional exposure strongly preferred)
- A detail‑oriented, highly organized approach with the ability to manage multiple competing deadlines
- Experience supporting complex, high‑volume deal environments
- Confidence working independently while also thriving in a team‑based, shared workload model
- Excellent communication and stakeholder management skills
- A proactive, solutions‑oriented mindset with high levels of professionalism and discretion
- Comfort working in a fast‑paced, high‑expectation environment
What you'll get in return
