We are looking for forward-thinking professionals who can operate with a high degree of autonomy, seamlessly managing complex corporate lifecycles, cross-border M&A transactions, and intricate reorganizations. Advantages
Transactional Execution (M&A): Lead and orchestrate the corporate clerk workflow for high-value mergers, acquisitions, and asset/share purchase transactions, including drafting closing agendas, complex resolutions, and closing certificates.

Advanced Reorganizations: Autonomously draft and review complex tax-driven corporate reorganizations, amalgamations, continuances, arrangements, and dissolutions.

Entity Management & Governance: Manage and maintain minute books and corporate registries for large portfolios of domestic, extra-provincial, and international entities.

Public Record Filings & Due Diligence: Conduct, review, and analyze sophisticated corporate searches (including Ontario Business Registry/OBR, ESC, and Cyber-compliance registries) and spearhead the remediation of complex corporate deficiencies.

Client & Counsel Liaison: Serve as the primary, authoritative point of contact for clients, accountants, and senior partners to facilitate seamless transactional closings.

Responsibilities
Advanced File Carriage: Managing complex commercial files from inception through to trial and enforcement.

Procedural Mastery: Drafting pleadings, motion records, and factums in strict accordance with the Rules of Civil Procedure and CaseLines.

Strategic Liaison: Serving as the professional bridge between counsel, clients, and court staff to manage deadlines and undertakings.

Trial Preparation: Orchestrating trial binders, managing electronic evidence during hearings, and coordinating with expert witnesses.

Qualifications
Experience: 5–10 years of dedicated corporate law clerk experience, preferably within a major mid-to-large sized firm or a fast-paced corporate legal department in Toronto.

Technical & Digital Literacy: High proficiency with modern entity management software (e.g., EnAct, Athennian, or Corplink), digital signature workflows (DocuSign), and an openness to utilizing AI-driven contract/document automation tools.

Credentials: Graduate of an accredited Law Clerk program and a member in good standing with the Institute of Law Clerks of Ontario (ILCO).

The "Deal-Runner" Mindset: Exceptional organizational agility with the ability to manage competing, strict transactional deadlines independently without dropping the ball.
