Corporate M&A Counsel Assistant Secretary

Support Coveo’s highest-impact corporate matters through M&A, board governance, and global corporate law as Assistant Corporate Secretary.This Senior Legal Counsel position partners with Coveo’s executive team, Board of Directors, Finance, Product, and external advisors. You will work across M&A, corporate reorganizations, subsidiary governance, directors’ duties, equity management, and international corporate matters. The position offers broad authority and autonomy while reporting to the Senior Vice President and General Counsel. Experience in technology or SaaS companies and cross-border transactions can distinguish candidates.Key Responsibilities:
Support M&A from due diligence through negotiation and closingManage corporate reorganizations and global subsidiary mattersPrepare and review Board and committee materialsAdvise on directors’ duties and corporate governanceCoordinate equity and capitalization management with FinanceRequirements:
At least five years of relevant corporate law experienceAbility to drive complex matters forward independentlyStrong communication with executives and directorsStrong business judgment and strategic context awarenessStrong French and English communication skillsUse M&A, governance, corporate law, and executive advisory skills to advance Coveo’s strategic legal priorities.
