Board Member – Volunteer – Board of Directors

We are looking for dedicated and passionate individuals to provide leadership, knowledge and skills as a Volunteer Member of the Board of Directors. Directors are accountable for the monitoring and oversight of the organization’s performance goals, ensuring financial accountability and providing feedback and guidance to the Executive Director.

Helping Hands is a not-for-profit, charitable organization providing community support services, primarily to older adults living in Orillia, Barrie and Muskoka regions. Founded in 1974, Helping Hands provides various services including personal care, caregiver relief, homemaking, transportation, meal delivery, friendly visiting, telephone reassurance, Transitional Bed services and other social programs.

With a growing workforce and strong volunteer base, Helping Hands is expanding its impact on and support of the healthcare system and the local communities it serves. We provide a dynamic and innovative work environment, one that supports our employees’ professional growth and desire to serve the community.

Currently, we have openings for the rewarding opportunity of being a Volunteer Board Member on the Board of Directors.

This will be a great experience to work with experienced professionals and share your skills and knowledge helping to guide an organization that is making a difference in the community. We are seeking individuals with diverse backgrounds that can include experience in Finance, Healthcare, Human Resources, Law, Management, IT, Government or other related areas.

Summary

The Board Member (or Director) is responsible for the governance functions and oversight of Helping Hands. The Director works collaboratively with members of the Board to ensure strategic objectives are met and the organizational mandate and mission are guided and overseen. The member is expected to attend Board meetings, Annual General Meetings (AGMs) and other key organizational functions and meetings.

Responsibilities, Duties, and Authority

  • Accountable to support the recruitment and orientation of new Board Members as required
  • Accountable to participate in the organization's Annual General Meeting and other Special Board Meetings as required
  • Accountable to be knowledgeable of the Board’s Governance Framework and Board Policies
  • Accountable to review and approve By-Laws, Amendments and Letters Patent
  • Accountable to participate in the annual Board Self-Assessment and Evaluation
  • Accountable for organization financial management including Investment policies and portfolio management, approval of annual operating budgets, and procurement policies
  • Accountable to participate in the annual evaluation and compliance of the Executive Director (ED) in accordance with Board Policies
  • Accountable to approve/ratify any updates to the Collective Agreement with the Union on behalf of the organization
  • Accountable, with the support of the ED, for the establishment and review or modification of the Organizations Strategic Plan
  • Accountable for all changes to the Directors and Officers liability coverage (including limits, and/or modifications)
  • Attends regular and pop-up or ad hoc meetings of the board, including preparatory work as needed
  • Assists with fundraising initiatives in support of the organization’s fund diversification goals
  • Attends organizational functions, including AGMs, open houses, staff appreciation events, etc.
  • As a director, determine officers of the board

Qualifications

  • Professional experience in the field of Finance, Healthcare, Human Resources, Law, Management, IT, Government or other related profession
  • Experience in the non-profit sector; experience with charitable organizations and working with the Ministry of Health and the Ontario Health Teams is considered an asset
  • Must be available to attend monthly Board meetings in the evenings (typically 1-2 hours in length)
  • Must be able to participate in and champion initiatives in addition to monthly meetings, such as the annual fundraising event
  • Willingness and ability to participate in additional Board Committees (such as the finance committee) is an asset
  • Must be at least eighteen years of age
  • Must not be an undischarged bankrupt
  • Must meet all organizational minimum requirements for volunteerism with the Corporation, including a clean Police Record Check and Vulnerable Sector Check, as required, and signing of confidentiality and conflict of interest agreements

Skills and Abilities

  • Strategic thinking skills
  • Strong leadership skills, attention to detail, and the ability to work cohesively with various levels of the organization
  • Comfortable with public speaking and presenting
  • Excellent interpersonal, written, and verbal skills
  • Previous working experience with a Board of Directors structure

Hours : 1-2 hours/month in the evening for regular Board Meetings, plus additional hours when participating in committees, events, and additional/ad hoc meetings/evaluations. Greater time commitments may be required at certain times of year for fundraising campaigns, to support board initiatives (board recruitment, ED evaluations, Etc), and for AGM’s and other additional meetings

Term : 2-year terms with opportunities to extend terms through re-election
