HomeTeam Live is a sports broadcasting and live streaming company serving leagues, teams, and venues across the world. Our distributed team operates across Canada, the United States, and South America. We are looking for a commercially minded Corporate Counsel. This is a hands‑on in‑house role with broad scope — you will own the full lifecycle of commercial contracts, provide day‑to‑day legal guidance to the business, and serve as the primary point of contact for technology and privacy law matters across both Canada and the United States. You will also coordinate outside counsel on specialized legal matters, keeping engagements focused and cost‑effective.
This position is well‑suited to a lawyer who thrives independently, communicates clearly with non‑legal stakeholders, and is energized by working at the intersection of technology, business, and law.
Position is primarily remote but availability for at bi‑weekly meetings in Regina or Saskatoon is expected.
Responsibilities
- Commercial Contracts
- Draft, review, and negotiate sales agreements, SaaS agreements, master service agreements, NDAs, and vendor contracts independently and to completion.
- Maintain and continuously improve a suite of standard contract templates.
- Advise internal stakeholders — including sales, finance, and operations — on contract terms, risk allocation, and deal structure.
- Manage the contract lifecycle from initial request through execution and renewal.
- Technology & Privacy Law
- Provide practical legal advice on technology transactions, software licensing, data sharing arrangements, and cloud services under both Canadian and U.S. law.
- Ensure compliance with applicable privacy and data protection legislation, including PIPEDA, Canada’s Law 25 (Quebec), and U.S. state privacy laws (e.g., CCPA/CPRA).
- Monitor and assess emerging legal developments in tech law across both jurisdictions and brief leadership on material changes.
- Support the business on cross‑border commercial arrangements involving Canadian and American counterparties.
- Intellectual Property
- Advise on IP ownership, licensing, and protection strategies (experience with patents, trademarks, trade secrets, or copyright is an asset).
- Review and negotiate IP provisions in commercial agreements.
- Coordinate with external IP counsel on prosecution, enforcement, and portfolio management matters.
- External Counsel Management
- Identify when matters require specialized outside counsel and manage those relationships effectively.
- Prepare clear and focused briefing materials to minimize outside counsel time and cost.
- Review and approve outside counsel invoices and work product.
- General Corporate
- Support corporate governance, board materials, and regulatory filings as required.
- Assist with corporate transactions including partnerships, acquisitions, and financings on an as‑needed basis.
- Provide legal training and guidance to internal teams on compliance, contracts, and risk management.
Qualifications
- Required
- LL.B. or J.D. from an accredited Canadian or U.S. law school.
- Called to the bar in any Canadian province.
- 2–5 years of post‑call experience in commercial law, with meaningful exposure to technology transactions.
- Demonstrated ability to draft and negotiate sales and commercial contracts independently, without reliance on external counsel for routine matters.
- Solid working knowledge of Canadian and U.S. technology law, including privacy, data protection, and software licensing.
- Strong written and verbal communication skills, with the ability to translate legal risk into plain business language.
- Comfort working in a fast‑paced environment with competing priorities and tight turnaround times.
- Preferred
- Experience with intellectual property law, including licensing negotiations and coordination with IP counsel.
- Familiarity with U.S. state privacy law (CCPA/CPRA) and cross‑border data transfer frameworks.
- Prior in‑house experience at a technology or SaaS company.
- Experience managing outside counsel relationships and legal spend.
