The Wealth and Asset Management Legal Team provides strategic and practical legal advice to advance the objectives and strategies, as well as the TD risk management requirements of the TD Wealth businesses, including TD Asset Management Inc. ( TDAM ). This position will be primarily dedicated to supporting the TDAM business.

Job Description:

You will be involved in a wide range of asset management legal matters, with a focus on supporting TDAMs institutional business. This includes: (i) advising on the launch and distribution of pooled and private markets funds; (ii) providing legal support to TDAM's real estate, infrastructure and private credit investment teams, (iii) drafting, reviewing, and negotiating investment management agreements, subscription agreements and other commercial agreements, (iv) drafting offering circulars for the initial and continuous distribution of funds, (v) providing legal and regulatory advice in relation to investment funds, portfolio management, and fund management services, (vi) working on strategic initiatives, including global distribution projects, (vii) working with internal stakeholders and managing external counsel to achieve business objectives; and (viii) providing advice on corporate governance and other regulatory matters.

Job Requirements:

• 7+ years (minimum 4) of experience in a top law firm and/or in-house role practicing securities law, including advising on fund offerings and investment management activities.
• Experience supporting asset managers, pension funds or other institutional investors.
• Experience advising on private markets strategies (including real estate, infrastructure, or private credit) is an asset.
• Experience with cross-border matters or international regulatory regimes is an asset.
• You have strong judgment and critical thinking skills, and the ability to work effectively with multiple partners and stakeholders.
• You have superior communication and analytical skills, including the ability to communicate effectively with senior members of TDAM's management team.
• You can manage multiple deadlines and priorities without sacrificing focus and attention to detail and work independently to provide legal support on major projects in a demanding, fast-paced environment.
• You can also work collaboratively in a large legal team setting with other lawyers and TD Legal Department leaders.
