Legal Counsel II - ZSA Canada (Mississauga)

The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The OSC’s mandate is to protect investors, promote fair and efficient capital markets, and support the stability of the financial system. The Corporate Finance Department is currently looking for a Legal Counsel II to join the team. What you will do

Review prospectuses, applications for discretionary relief from securities legislation, exempt market activities and continuous disclosure filings. Contribute to the development of policy initiatives, including adapting regulatory principles to industry trends and emerging issues. Interact with other OSC divisions, market participants and their advisors, and other stakeholders engaged with the capital markets. Qualifications

Member of the Law Society of Ontario in good standing with a minimum of five years’ experience practicing securities law. Experience working with the securities regulatory regime as it applies to public companies and companies raising capital in the exempt market, ideally gained at a law firm or a reporting issuer. Legal knowledge of capital markets and the ability to exercise good judgment. Experience in policy development and regulation. Demonstrated ability to establish collaborative working relationships within a team environment. Ability to balance regulatory objectives with practical business considerations. Strong analytical, project management and communication skills. Ability to organize and manage multiple, complex projects and set and adjust priorities.
