A well-established and respected professional services organization is seeking an experienced Corporate Law Clerk to join its Corporate Services team. This opportunity is ideal for a detail-oriented legal professional who thrives in a fast-paced environment and has extensive experience supporting a broad range of corporate transactions and governance matters.

Key Responsibilities

  • Prepare and file corporate documentation for incorporations, amendments, continuances, amalgamations, dissolutions, and other corporate transactions under applicable federal and provincial legislation.
  • Prepare closing documentation for corporate transactions, including resolutions, officer certificates, and related documents, while supporting post-closing requirements.
  • Maintain corporate records and minute books, including annual maintenance, director and officer changes, registered office updates, dividends, share transactions, and other governance matters.
  • Prepare and file business name registrations, partnership registrations, and extra-provincial registrations across Canadian jurisdictions.
  • Complete annual filings and regulatory submissions required under applicable corporate legislation.
  • Review and analyze corporate records and minute books, identify deficiencies, and prepare remedial documentation where required.
  • Obtain corporate status and compliance certificates.
  • Manage multiple files while maintaining accuracy, confidentiality, and high service standards.
  • Collaborate effectively with legal professionals and internal stakeholders on a variety of corporate matters.

Qualifications

  • Minimum of five (5) years of experience as a Corporate Law Clerk.
  • Completion of a recognized Law Clerk certification program.
  • Membership in good standing with the applicable professional law clerk association is considered an asset.
  • Strong working knowledge of federal and provincial corporate legislation.
  • Experience with corporate record management and regulatory filings.
  • Proficiency with Microsoft 365 and corporate records management software.
  • Ability to work independently, prioritize competing deadlines, and manage a busy workload.
  • Strong analytical, organizational, communication, and problem-solving skills.
  • Exceptional attention to detail and a commitment to maintaining confidentiality.
  • Flexibility to work additional hours when business needs require.
