What will your typical day look like?
As a Senior Consultant or Manager on the Commercial Due Diligence (CDD) team, you will work with clients across all industry sectors primarily during the pre-deal diligence stage within the M&A lifecycle. You will lead and support strategic assessments for private equity firms, corporate clients, government and investors during transactions. This includes helping clients analyze market dynamics, competitive positioning, growth opportunities, and commercial risks to provide actionable insights that inform investment and growth decisions for clients. Your clients could be senior level executives at corporates, strategic acquirers, private equity firms and government.

As a Senior Consultant/Manager you will:
- Manage end‑to‑end commercial due diligence projects on both buy‑side and sell‑side transactions, including scoping, planning, and delivery.
- Assess industry value chains, market size, growth and growth trends, competitive landscapes, and customer and regulatory dynamics.
- Evaluate target companies’ market positions, growth potential, and strategic fit with client objectives, including key value drivers, risks, red flags, and opportunities.
- Collaborate with financial and operational diligence teams to validate revenue forecasts, assumptions, and business plans.
- Contribute to the development of sector investment theses, growth strategies, and identification of value‑creation opportunities.
- Support in broader pre‑deal diligence efforts, including operational, HR, and IT/technology diligences, to enable informed transaction decisions.
- Assist clients in translating diligence findings into actionable value‑creation initiatives post‑transaction.
- Serve as the primary point of contact for clients, presenting analyses, findings, and recommendations clearly and persuasively.
- Mentor junior team members, ensuring high‑quality analysis, deliverables, and professional development.
- Work closely with strategy, financial, tax, IT, HR, and operations teams throughout transaction processes to deliver an integrated set of recommendations.
About the team
The Commercial Due Diligence (‘CDD’) team is a rapidly growing part of Deloitte’s Deal Transformation & Post Merger Integration Team (‘DT&PMI’) group. We provide critical commercial insights to private equity firms, corporate acquirers, and government organizations, helping them assess market attractiveness, competitive dynamics, customer behaviour, and revenue growth potential across the M&A deal cycle. Our team supports clients in validating business plans, identifying value‑creation opportunities, and building investment confidence through rigorous, evidence‑based commercial analysis.

In this role, the expected qualifications are:
- Strong strategic and commercial acumen, with the ability to interpret market, competitive, customer, and financial data and synthesize it into clear, actionable insights.
- Hands on involvement in M&A transactions, ideally supporting private equity and corporate clients across buy side and sell side engagements.
- Well developed analytical skill set, including hypothesis driven problem solving, analytical rigor, strong attention to detail, and disciplined thinking.
- Proven ability to manage multiple projects simultaneously under tight timelines and competing priorities while maintaining high quality outputs.
- Strong communication, presentation, and storytelling skills, with experience translating complex analyses into compelling narratives for senior stakeholders.
- Ability to synthesize complex information into actionable recommendations that support investment and strategic decision making.
- High proficiency in Excel, PowerPoint, and market research tools (e.g., Capital IQ, PitchBook), with the ability to efficiently leverage data in commercial analysis.
- Ability to effectively leverage AI enabled tools to support market research, analysis, and insight generation.
- Professional agility and adaptability, including willingness to learn new industries and subject matter areas and travel as required.
Minimum Experience:
- Bachelor’s degree required, with approximately 4–8 years of relevant professional experience in strategy consulting, transaction advisory, or corporate development.
- Experience developed in strategy consulting, transaction advisory, or corporate development environments, with exposure to market analysis, strategic assessment, and transaction related work.
- Demonstrated experience managing teams and client relationships in fast paced, high pressure environments, including responsibility for day to day execution and delivery.
- Professional designations, applicable certifications, and/or master’s level education in a related field considered an asset.
Total Rewards
The salary range for the Senior Consultant is $84,000 - $126,000, and for the Manager is $101,000 - 169,000, and individuals may be eligible to participate in our bonus program.
