Your New Role
As a Corporate Law Clerk, you will become a key member of a busy and sophisticated transactional corporate team. Supporting lawyers on a broad range of corporate and commercial matters, you will play a critical role in managing transactions from inception through closing while ensuring the highest standards of accuracy and client service.
Your responsibilities will include preparing and maintaining corporate records and minute books, drafting resolutions and related corporate documentation, assisting with corporate reorganizations, incorporations, amalgamations, continuances, and dissolutions, conducting due diligence searches, supporting transaction closings, and coordinating annual maintenance requirements.
This position offers exposure to complex corporate transactions, including mergers and acquisitions, financing transactions, and other significant commercial matters. The role follows a hybrid work model, requiring attendance in the office two to three days per week.
What You'll Need to Succeed
The ideal candidate will bring 5–10 years of corporate law clerk experience, preferably gained within a leading law firm or sophisticated corporate legal environment.
You will possess:
- Significant experience supporting transactional corporate law matters.
- Strong knowledge of federal and provincial corporate legislation and procedures.
- Experience with corporate reorganizations, share transactions, M&A transactions, and related corporate work.
- Exceptional organizational and time-management skills.
- A meticulous attention to detail and commitment to producing high-quality work.
- The ability to manage multiple priorities in a fast-paced, deadline-driven environment.
- Strong communication and relationship-building skills.
- A proactive, team-oriented approach and a commitment to client service excellence.

The compensation package includes:
- Base salary of $120,000–$150,000 , dependent on experience.
- Annual performance bonus.
